1. Acceptance of Terms

By accessing or using MailyGent ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

MailyGent is an AI-powered email marketing platform that helps businesses create email campaigns, content strategies, and marketing calendars. The Service is provided via a web application at appmailygent.netlify.app.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract to use the Service. By using MailyGent, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a business, you warrant that you have authority to bind that business to these Terms.

4. Account Registration

You must provide accurate, current and complete information when creating your account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access at hello@mailygent.com

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Subscription Plans & Payments

5.1 Plans

MailyGent offers a free Trial plan and paid plans (Starter, Growth, Pro). Plan details and pricing are available on our Pricing page.

5.2 Billing

Paid plans are billed in advance on a monthly or annual basis via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.

5.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by law.

5.4 Refunds

If you are a consumer resident in the UK or EU, you have a 14-day right of withdrawal from the date of purchase, unless you have already made use of the Service during that period.

5.5 Price changes

We may change our prices with at least 30 days' notice. If you do not agree to the new prices, you may cancel before the change takes effect.

6. Acceptable Use

You agree not to use MailyGent to:

• Send spam, unsolicited communications, or violate anti-spam laws (including UK PECR and CAN-SPAM)
• Generate content that is illegal, defamatory, harassing, fraudulent or deceptive
• Infringe the intellectual property rights of others
• Attempt to reverse engineer, decompile or access the Service's source code
• Scrape, crawl or extract data from the Service without our permission
• Circumvent usage limits or share account credentials with third parties
• Engage in any activity that disrupts or harms the Service or other users

Violation of this section may result in immediate suspension or termination of your account without refund.

7. AI-Generated Content

MailyGent uses artificial intelligence (including third-party AI providers such as OpenAI) to generate content. You acknowledge that:

• AI-generated content may be inaccurate, incomplete or unsuitable for your specific context
• You are solely responsible for reviewing, editing and using any content generated through the Service
• We do not guarantee that AI-generated content is original or free from third-party intellectual property claims

8. Intellectual Property

8.1 Your content

You retain ownership of all content you input into MailyGent ("Input Content") and all content generated by the Service on your behalf ("Output Content"). You grant us a limited licence to process your Input Content solely to provide the Service.

8.2 Our IP

All rights in the MailyGent platform, including software, design, trademarks and documentation, are owned by MailyGent Ltd or our licensors. Nothing in these Terms grants you any rights in our IP beyond what is necessary to use the Service.

9. Availability & Modifications

We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. We may modify, suspend or discontinue features at any time. We will give reasonable notice of material changes where possible.

10. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special or consequential damages
• Our total liability to you in any 12-month period shall not exceed the fees you paid to us in that period

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify and hold harmless MailyGent Ltd, its directors, employees and partners from any claims, losses or expenses (including reasonable legal fees) arising from your use of the Service or breach of these Terms.

12. Termination

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay. You may delete your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. Clauses that by their nature survive termination (IP, limitation of liability, indemnification) will continue to apply.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the UK or EU, you may also have rights to alternative dispute resolution schemes.
